Mutual NDA Template
A two-way confidentiality agreement, for when both companies will be showing each other something they would rather keep quiet.
Use this when the conversation runs in both directions: a potential partnership, an integration where you each expose API internals, an acquisition discussion, or a joint bid where both sides share pricing.
The obligations are symmetrical, which is why this version tends to get signed faster. Nobody has to argue about why they are taking on a duty the other side is not.
Use it when
- Exploring a partnership, reseller arrangement or joint venture
- Technical integration talks where both sides expose architecture
- Early acquisition or merger conversations
- Joint proposals where both parties share pricing or client lists
Use something else when
- Only one side is disclosing. The one-way NDA is cleaner and faster to get signed
- You are hiring an employee, where confidentiality belongs inside the employment agreement

Questions
When should I use a mutual NDA instead of a one-way?
Whenever both sides will disclose. Sending a one-way NDA to a company that is also about to share confidential material reads as either careless or one-sided, and it usually comes back redlined, which costs you a week.
Does a mutual NDA protect both parties equally?
In this template, yes. Both parties are simultaneously the Disclosing Party and the Recipient, and the obligations mirror each other. Watch for versions where the definitions or the term differ by side.
What counts as confidential information?
The definitions clause covers non-public business, technical and customer information whether or not it is marked confidential, and carves out anything already public, independently developed, or received lawfully from a third party.
Can we sign it electronically?
Yes. Electronic signatures are valid across Canada under provincial e-commerce legislation and the federal PIPEDA framework. Download the Word file and send it through any e-signature service.
